The Securities and Exchange Commission (SEC) issued an urgent public advisory, reiterating its strong warning against the investment solicitation activities of OZ Living Services, Inc. (OZ Living).
Based on information gathered through monitoring and public reports, the SEC has found that OZ Living Services, Inc. is actively offering and soliciting investments from the public. These offerings, which involve the exchange of money for the promise of substantial profit or guaranteed interest returns, are considered securities, specifically in the form of investment contracts.
The SEC hereby informs the public that OZ Living Services, Inc. is not registered with the Commission to act as an issuer of securities, nor does it possess the requisite secondary license or permit to solicit, accept, or take investments from the public.
Under the Securities Regulation Code (SRC), no person shall offer or sell securities to the public unless such securities are registered with the SEC and a registration statement has been rendered effective. The unauthorized solicitation of investments by OZ Living constitutes a violation of the SRC and its implementing rules, posing a substantial risk to the investing public.
The SEC warns that those who act as promoters, endorsers, agents, or salesmen of OZ Living Services, Inc. in connection with its unregistered solicitation activities may be held liable under the law and subjected to criminal penalties, including fines and imprisonment.
The Commission strongly urges the public to exercise extreme caution and perform due diligence before engaging in any investment opportunity.
